Terms and Conditions

Advertisements placed on the outwise.co.uk website are accepted subject to the following terms and conditions.

1. Definitions
“Advertiser” means any person, persons, or body corporate using the website to place an advertisement.
“Advertisement” means any of the products available to be placed on the outwise.co.uk website, including Event Advert, Special Offer, Competition, Feature, and Venue Listing.
“Advertising Credits” means units of advertising purchased used to place advertisements.
“Product Bank” means a depository of advertising credits.
“Services” means internet based advertising services provided on a non-exclusive basis through the outwise.co.uk website.
 
2. Agreement
2.1 outwise.co.uk (Outwise Limited) agrees to provide the Services to the Advertiser in an efficient and effective manner and to the best of their abilities.
2.2 By using this website the Advertiser confirms acceptance of, and agrees to be bound by these terms and conditions.

3. Warranty
3.1 By placing an Advertisement, the Advertiser warrants that the Advertisement is legal, decent, honest and truthful, complies with all relevant codes of practise and with all requirements of current legislation and that it contains nothing that is defamatory or that constitutes an infringement of the proprietary or other rights of any third party.
3.2 By placing an Advertisement, the Advertiser warrants that all necessary authority and permission has been secured in respect of the use in the Advertisement(s) of pictorial representations of (or purporting to be of) living persons, and of references to the words attributed to living persons.

4. Indemnity
4.1 The Advertiser shall indemnify outwise.co.uk against any losses, expenses or other costs incurred by outwise.co.uk resulting from any untrue statement or other inaccuracy appearing in an Advertisement placed by the Advertiser.

5. Liability
5.1 Under no circumstance shall we be liable for any direct or indirect, or consequential damages arising from the use of this website or any inability to use this website, or any information obtained from the website, or from any use of any linked website.

6. Accuracy
6.1 It is the responsibility of the Advertiser to check the accuracy of Advertisements placed by them. In the event of any error, mistype, or omission in the placing of an Advertisement no refund or adjustment to amounts charged in respect of the Advertisement will be made by outwise.co.uk.
6.2 outwise.co.uk reserves the right to request an Advertiser to make any alteration considered necessary or desirable to an Advertisement. Should an Advertiser fail to alter an Advertisement as requested, outwise.co.uk reserves the right to make such alterations considered necessary. outwise.co.uk reserves the right to remove an Advertisement from the website in circumstances where it is considered appropriate. outwise.co.uk will notify the Advertiser of the action taken and where appropriate, charges refunded to the Advertiser.

7. Payment
7.1 Advertisements are paid for by the purchase of advertisement credits which are deposited in the Product Bank until such time as they are used by placing Advertisements. Advertising credits deposited in the Product Bank have no expiry, and are non refundable. Charges for advertisements credits are shown in the document products and prices, which may be updated from time to time.
7.2 Payment for advertisements credits may be made online by credit or debit card. Where an Advertiser has been approved for credit, payment must be received by outwise.co.uk within thirty days from the date of invoice.
7.3 Where an Advertiser is in breach of their credit terms, outwise.co.uk reserves the right to remove all current Advertisements placed by the Advertiser until such time as the account is brought in line with the agreed terms.

8. Cancellation
8.1 Once an Advertisement has been placed and is live on the website it can not be cancelled or removed by the Advertiser and will not be eligible for a refund of advertisement credits.
8.2 If an Advertiser considers it essential that an Advertisement be removed, this can be done by sending an e-mail to customer.service@outwise.co.uk detailing the circumstances warranting removal of the Advertisement. outwise.co.uk will notify the Advertiser of the action taken and where appropriate, advertising credits refunded to the Advertiser’s Product Bank.

9. Links to Other Websites
9.1 Links to other websites may only be inserted within advertising content at the specified locations. Links may not be made to other websites, or web pages that the Advertiser does not own, or does not have any direct control of the content. The links must not be used in order to promote other products or services provided by the Advertiser or any other third party.
9.2 The Venue weblink must link to a website or web page where the listed Venue is the main subject.
9.3 The Event weblink must link to a website or web page where the Event is the main subject.

10. Areas Covered
10.1 Venue details entered on the website are assigned to Areas Covered. The Advertiser must select only those towns and counties from where the Advertiser reasonably expects to attract custom.
10.2 Where an Advertiser has assigned a Venue to a town or county which is inappropriate, outwise.co.uk will request the Advertiser to remove the town or county from the list of areas covered. Should an Advertiser fail to alter the Venue details as requested, outwise.co.uk reserves the right to make such alterations considered necessary.

11. Categories
11.1 Event Adverts and Venue details entered on the website are assigned to Categories. The Advertiser must select only those categories which are appropriate for the Event or Venue.
11.2 Where an Advertiser has attached an Event or a Venue to a Category which is inappropriate, outwise.co.uk will request the Advertiser to deselect that Category. Should an Advertiser fail to alter the Category selection as requested, outwise.co.uk reserves the right to make such alterations considered necessary.

12. Privacy Policy
12.1 Competitions placed on the website by the Advertiser result in the Advertiser having access to the names and e-mail addresses of competition entrants. The use of these is strictly governed by the outwise.co.uk Privacy Policy.
12.2 A breach of the Privacy Policy by the Advertiser constitutes a breach of these terms and conditions. In such circumstances outwise.co.uk reserves the right to remove from the website all current Competitions, or any other products placed by the Advertiser until such time as outwise.co.uk is satisfied that the Advertiser will comply with the Privacy Policy.

13. Remedy
13.1 Where there has been a breach of these terms and conditions by the Advertiser, outwise.co.uk reserves the right to remove all current Advertisements, or any other products placed by the Advertiser and prevent the Advertiser from using the website in future.

14. Joint Venture
14.1 There is no joint venture, partnership, employment, or agency relationship arising between the Advertiser and outwise.co.uk as a result of the Advertiser using the website.

15. Governing Law
15.1 These terms and conditions shall be governed by and construed in accordance with English law, and subject to the exclusive jurisdiction of the English courts.
